Thanks for the help, just to be sure I read the changes correctly, the rule
would be
:0 fw h
* ^X-Mailig-List:.*some-list-to-modify
* ^Precedence:.*List
|formail -I "Precedence: first-class"
Now I just need to contact the vendor to be sure I have the proper
configuration in /etc/aliases so the list(s) send to formmail for processing
(those whose priority will change) before being offloaded to Exchange.

Also, not sure what that "=" is in your Precedence-header condition.
I presume a typo.
