Without going into detail, it is in fact ok for organization governing body to decide to dissolve itself (although it could be argued that
this requires more then simple majority vote). In that case organization
can/should then choose to create new governing body to replace it.

Dissolution by vote is actually different and is reserved for case
when governing body does not want to do it but majority of those
it serves would like to see it gone. Typically such elections are
not called for by the governing body but by external entity.

Another situation that can happen is that governing body can call for
non-binding (consultative) referendum on its own dissolution and then
use the results in making a decision on if it should dissolve itself
(but it is not expected to be required to abide by results of such
referendum).
